License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to resell, redistribute, or create derivative works.

User Content

You retain ownership of any content you upload to the Service. However, you grant us a comprehensive license to use, process, analyze, store, reproduce, modify, and create derivative works from such content for the purpose of providing our services, improving our platform, developing new products, and training our AI models and algorithms.

Payment Processing

Refunds and Cancellations

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. We offer a 30-day money-back guarantee for new subscribers.

Price Changes

We reserve the right to modify our pricing with at least 30 days' notice. Existing subscribers will be grandfathered into their current pricing for the remainder of their billing cycle.

AI Accuracy Limitations

Technical support is provided during business hours with response times varying by subscription plan. Critical issues affecting service availability receive priority attention.

No Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Service Accuracy Limitations

You acknowledge that ScoutMint services are tools to assist in various business processes and that all final decisions remain your responsibility. We do not guarantee the accuracy, completeness, or suitability of our analysis or outputs for any particular purpose.

Third-Party Content

We are not responsible for the accuracy, legality, or content uploaded by users. Users are responsible for ensuring they have proper rights and permissions for all uploaded content and compliance with applicable laws and regulations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCOUTMINT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

Maximum Liability

Our total liability to you for any damages arising from or related to this agreement or your use of the service shall not exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Essential Purpose

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. These limitations shall apply to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless ScoutMint, its officers, directors, employees, agents, and suppliers from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Service caused damage to a third party
• Your business decisions made using our Service
• Your failure to comply with applicable laws or regulations

This defense and indemnification obligation will survive these Terms and your use of the Service.

Termination by User

You may terminate your account at any time by canceling your subscription through your account settings or by contacting our support team. Upon termination, your access to the Service will cease at the end of your current billing period.

Termination by ScoutMint

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. We may also terminate your account for prolonged inactivity or non-payment.

Effect of Termination

Upon termination, your right to use the Service will cease immediately. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be interpreted and governed by the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Jurisdiction

Any disputes, claims, or legal proceedings arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. You hereby consent to the personal jurisdiction of such courts.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service will first be attempted to be resolved through good faith negotiations. If such negotiations fail, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 2015 of India, with the seat of arbitration being Mumbai, Maharashtra, India.

Language and Proceedings

All legal proceedings, arbitrations, and communications related to disputes shall be conducted in English language. The courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any legal matters arising from or relating to these Terms.

Service Updates

We reserve the right to modify, update, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Terms Updates

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

Continued Use

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified terms, you should discontinue your use of the Service.

Entire Agreement

These Terms constitute the entire agreement between you and ScoutMint regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and ScoutMint.

Severability

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, wars, government actions, or internet service provider failures.
